Services

Every sale is different. Ours are built to order.

We advise private, entrepreneurial and family businesses on selling, recapitalizing and growing through acquisition. Each engagement is designed around the company, its culture and the owner’s goals, financial and personal.

Selling your company

Most of our work is representing owners in the sale of their business, to strategic buyers, private equity firms or family offices. We run a competitive, confidential process designed to find every serious buyer, not only the ones who have already called.

Along the way we take on the work that protects value: normalizing your financials so buyers see the company’s true earnings, identifying and solving issues before diligence finds them, preparing an offering memorandum that makes the case for your business, and marketing it without putting confidentiality at risk.

What owners can expect

  • Senior bankers involved at every step, led by Dave Iannini
  • A process tailored to your company and to each prospective buyer
  • Frequent updates, and a direct line to the team at any hour
  • Preparation with management for buyer meetings and presentations
  • No artificial deadlines until enough interest has built
  • Negotiation of the terms that matter beyond price

Recapitalizations and partial sales

Not every owner is ready to step away. In a recapitalization, a private equity partner typically buys a majority of the business while you keep a meaningful stake and keep running it. You take money off the table now, and get a second bite at the apple when the company is sold again, often three to seven years later.

We help owners decide whether a partial sale fits their goals, find the right partner, and negotiate the rollover, governance and employment terms that will shape the years after closing.

Acquisitions

For owners and entrepreneurs growing through acquisition, we identify and approach targets, value them, structure and negotiate the deal, and coordinate diligence through closing.

Management buyouts

Some owners want the business to pass to the people who run it. We help structure management buyouts that work for both the departing owner and the incoming team.

Exit planning and valuation

The best results are prepared years in advance. Some issues, such as customer concentration, tax elections or gaps in financial reporting, take years to fix. We help owners plan ahead so the company is ready when they are.

  • Preparing for an exit. What buyers will look for, and what to address now
  • Valuation. What the business is worth today, and what drives that number
  • Capital structure. The mix of debt and equity that supports growth and an eventual sale

Common mistakes owners make before a sale

Fairness opinions

Our principals have been called on to provide fairness opinions to boards of directors, shareholders, trustees and courts. Each opinion rests on thorough due diligence and a careful look at the structure of the transaction, along with its financial, legal, accounting and tax implications.

The sale process

How a sale comes together

Most processes take six to twelve months from preparation to closing. Every engagement is different, but the stages are consistent.

  1. Preparation

We learn the business, normalize the financials, form a view on value, and deal with issues before buyers see them.

  2. Materials and buyers

We write the offering memorandum and build a buyer list that reaches beyond the obvious names, including strategic, financial and adjacent buyers.

  3. Confidential marketing

We approach buyers under non-disclosure agreements, manage their questions, and prepare management for meetings.

  4. Negotiation

We create competition, compare offers on structure as well as price, and negotiate the letter of intent.

  5. Diligence and closing

We work alongside your attorneys and accountants on diligence and the purchase agreement, from representations and escrows to employment and lease terms, through to closing.
